DUKE NETWORKS, LLC MAKES NO WARRANTIES EXPRESSED OR IMPLIED AS TO THE COMPLETENESS, ACCURACY, NON-INFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OF ANY OF THE DEMONSTRATIONS, PROCEDURES, AND/OR PROGRAMS NOR DOES IT GUARANTEE THAT THE PROGRAMS WILL BE ERROR-FREE OR CONTINUOUSLY AVAILABLE. YOUR USE OF THIS WEBSITE AND THE PROGRAMS CONTAINED THEREIN ARE AT YOUR SOLE RISK.

You agree to indemnify Duke Networks, LLC for any claims, liabilities, damages, costs and expenses (including attorneys’ fees and costs) arising out of any use of the names “MOTORZ TV” or “motorz.tv” including any claim that any logo used by you that incorporates either of the names infringes the rights of any other person or entity.
You agree not to (i) take any actions that would adversely affect Duke Networks, LLC’s rights in the “Motorz TV” and “motorz.tv” names, or (ii) file any application or other document with any governmental authority to register any corporate name, trade name, trademark, service mark, certification mark, collective mark or other similar designation that includes the words “Motorz TV” or “motorz.tv” or any confusingly similar names, or (iii) take any other action that is inconsistent with Duke Networks LLC’s rights in the names “Motorz TV” and “motorz.tv” (or aid or abet any third person in doing so).
Damages; Indemnification
You agree that you will be responsible for any damages resulting from any violation of this Terms of Use Agreement. You further agree to indemnify and hold Duke Networks, LLC and its subsidiaries, affiliates, officers, directors, agents, and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your breach of this Terms of Use Agreement, or any violation of any law or the rights of a third party that occurs in connection with your use of Motorz TV Forums.
Choice of Law and Forum
This Terms of Use Agreement shall be governed by and construed in accordance with the laws of the State of California, excluding its conflicts of law rules. You agree that the exclusive jurisdiction for any claim or action arising out of or relating to this Terms of Use Agreement or use of this Web site shall be filed only in the state or federal courts located in the County of San Diego, State of California, and you further agree and submit to the exercise of personal jurisdiction of such courts for the purpose of litigating any such claim or action.
